Acceptance of Terms
By accessing or using any service provided by Seasia Studio ("Studio", "we", "us", or "our"), including our website, project intake forms, design and editing services, and any related deliverables (collectively, the "Services"), you ("Client", "you", or "your") agree to be bound by these Terms of Service ("Terms").
If you do not agree to these Terms in their entirety, you must not access or use the Services. By creating an account, submitting a project inquiry, or otherwise engaging the Studio, you confirm that you have read, understood, and agreed to these Terms on behalf of yourself and any organisation you represent.
Eligibility & Accounts
You must be at least 18 years old (or the age of legal majority in your jurisdiction) to use the Services. By agreeing to these Terms, you represent and warrant that you meet this requirement.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorised use of your account. The Studio is not liable for any loss or damage arising from your failure to protect your credentials.
Description of Services
The Studio provides creative production services, including but not limited to:
- YouTube and long-form video editing, color grading, and finishing
- Vertical short-form content for TikTok, Instagram Reels, and YouTube Shorts
- Custom thumbnail, channel-art, and brand-asset graphic design
- Web design, web development, and portfolio site builds
- Brand strategy, content strategy, and consulting
The specific scope, deliverables, timeline, and fees for any engagement are agreed in a written project order, statement of work, or invoice, which forms part of these Terms by reference.
Payment Terms & Deposits
A 50% non-refundable deposit of the total project price is due before any work begins. The remaining 50% becomes due after a lower-resolution, watermarked draft is delivered for your review.
Final, unwatermarked source files and deliverables will not be released until full payment has cleared. All invoices are due within seven (7) days of issue unless otherwise agreed in writing. Late payments accrue interest at 1.5% per month (or the maximum permitted by law, whichever is lower) and may pause work on the project.
Rush fees, additional revisions beyond the agreed scope, and out-of-scope requests are billed separately at our then-current rates.
Revisions & Scope Changes
Each project includes a defined number of revision rounds as stated in the project order. A "revision" is a minor change such as color adjustment, copy edit, timing tweak, or small text replacement.
Major modifications — including but not limited to swapping out large segments of footage, replacing the music track, changing the overall creative direction, or re-cutting the narrative structure — constitute a scope change and will be billed at our standard hourly rate. To minimise additional charges, please provide a clear creative brief, reference material, and music choices before we start.
Corrections required because of an error on our part are handled free of charge, regardless of revision count.
Timelines, Communication & Client Responsibilities
Standard turnaround for most projects is one to three (1–3) business days from the date the deposit clears and all source materials are received, unless a custom timeline is specified in your project order. Turnaround is contingent on the Client providing timely feedback, approvals, and any required source assets.
Communication happens inside your designated project ticket, client portal, or the email thread associated with your order. The Studio team operates primarily on Indian Standard Time (IST, UTC+05:30). Substantive responses are typically provided within one (1) business day, excluding Indian public holidays.
The Client is responsible for delivering all required source files (raw footage, audio, brand assets, copy, reference materials) via Google Drive or another agreed-upon method. The Client warrants that it owns or has secured all necessary rights, licenses, and permissions for any third-party material it provides to the Studio.
Intellectual Property & Portfolio Rights
Upon receipt of full payment, the Client receives a non-exclusive, perpetual, royalty-free licence to use the final approved deliverables for its intended business purpose. The Studio retains all right, title, and interest in the underlying working files, project files, source code, project templates, stock assets, and any pre-existing intellectual property.
The Studio reserves the right to display, reproduce, and distribute the final deliverables (or excerpts thereof) in its portfolio, on its social media channels, and in case-study materials once the project has been publicly published by the Client. If you require the work to remain fully confidential, you must inform us in writing before the project begins; confidentiality requests may affect our pricing.
The Studio's name, logo, and brand assets may not be used without prior written permission, except where the Client reasonably credits the Studio as the creator of the work in standard industry contexts (e.g., end credits, "Edited by" tags).
Confidentiality
Both parties agree to treat as confidential any non-public information disclosed during the engagement, including unreleased product details, business strategies, financial figures, source code, and creative concepts that are marked confidential or that a reasonable person would understand to be confidential. This obligation survives termination of the engagement for a period of three (3) years.
The Client's confidential information includes the contents of raw footage and brand assets provided to the Studio. The Studio's confidential information includes pricing, internal workflows, proprietary tools, and any unpublished work product.
Client-Supplied Materials & Licensing
The Client represents and warrants that it owns or has obtained all necessary rights, licenses, consents, and permissions for any material it provides to the Studio (including footage, music, photography, logos, and brand assets), and that use of such material by the Studio in accordance with the project order will not infringe any third party's intellectual property, privacy, or publicity rights.
The Client agrees to indemnify, defend, and hold harmless the Studio from any claim, demand, or damages arising out of the Client's breach of this section, including reasonable attorneys' fees.
Platform, Algorithm & Channel Performance Disclaimer
Seasia Studio is a creative design and post-production service provider and has no affiliation with or control over third-party platforms (including but not limited to YouTube, TikTok, Instagram, Twitch, or Facebook).
The Studio makes no guarantees, warranties, or representations regarding video view counts, subscriber growth, audience engagement, watch time, search engine visibility, monetization eligibility, or advertising revenue.
The Studio is not responsible or liable, and the Client agrees to hold the Studio harmless, for any platform penalties, community guideline violations, video removals, copyright claims or strikes, channel demonetization, reach reduction, or permanent account suspensions arising from the Client's use of raw materials or the final edited deliverables.
DMCA & Copyright Claims Takedown
Seasia Studio respects the intellectual property rights of others. If you are a copyright owner or an agent thereof and believe that any content produced, processed, or hosted by the Studio infringes your copyrights, you may submit a notification pursuant to the Digital Millennium Copyright Act (DMCA) by providing our designated Copyright Agent at hello@seasiastudio.in with the following information in writing:
- A physical or electronic signature of a person authorised to act on behalf of the owner of an exclusive right that is allegedly infringed;
- Identification of the copyrighted work claimed to have been infringed;
- Identification of the material that is claimed to be infringing and information reasonably sufficient to locate it;
- Contact information of the complaining party;
- A statement that the complaining party has a good-faith belief that use of the material in the manner complained of is not authorised; and
- A statement that the information in the notification is accurate, and under penalty of perjury, that the complaining party is authorised to act.
The Studio will act expeditiously to remove or disable access to the disputed material upon receiving a valid claim.
Warranty Disclaimer
THE SERVICES AND DELIVERABLES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, SEASIA STUDIO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT.
The Studio does not warrant that the Services will be uninterrupted, secure, timely, or error-free, or that any defects will be corrected. The Client acknowledges that outcomes in creative and marketing work are inherently uncertain and depend on factors outside the Studio's control.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SEASIA STUDIO, ITS OWNERS, DIRECTORS, EMPLOYEES, CONTRACTORS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES (INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, CHANNEL REVENUE, OR BUSINESS OPPORTUNITY) ARISING OUT OF OR RELATED TO THE SERVICES, DELIVERABLES, OR THESE TERMS, REGARDLESS OF THE LEGAL THEORY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF THE STUDIO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
THE STUDIO'S TOTAL AGGREGATE LIABILITY FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS SHALL NOT EXCEED THE TOTAL FEES ACTUALLY PAID BY THE CLIENT TO THE STUDIO FOR THE SPECIFIC PROJECT GIVING RISE TO THE CLAIM, OR INR 25,000, WHICHEVER IS LOWER.
Indemnification
The Client agrees to defend, indemnify, and hold harmless Seasia Studio and its officers, directors, employees, contractors, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, debts, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Client's violation or breach of any representation, warranty, or provision of these Terms;
- Client's misuse of the Services or deliverables;
- Any copyright, trademark, privacy, publicity, or intellectual property infringement claims arising from raw footage, assets, music, fonts, or other materials supplied by the Client; or
- Client's violation of any third-party right or applicable law.
Termination & Suspension
Either party may terminate an active project engagement by providing written notice. If the Client terminates, the Client remains responsible for (a) all work completed up to the termination date, (b) the non-refundable deposit, and (c) any third-party costs already incurred on the Client's behalf.
The Studio may suspend or terminate the Client's access to the Services at any time, with or without notice, for conduct that violates these Terms, poses a risk to the Studio or third parties, or is otherwise harmful. Provisions of these Terms that by their nature should survive termination — including those relating to intellectual property, payment obligations, confidentiality, disclaimers, and limitations of liability — will survive any termination.
Refunds & Cancellations
Deposits are non-refundable. Once work on a project has commenced, fees for work performed are non-refundable. If a project is cancelled before work begins, the Studio will refund any amounts paid in excess of the non-refundable deposit, minus any out-of-pocket expenses already incurred (e.g., stock media licences).
If the Client is dissatisfied with a delivered draft, the Client must submit a written notice of concern within seven (7) days of delivery. The Studio will, at its discretion, either perform additional revisions to bring the work to a reasonable standard or issue a partial refund of fees paid for that specific project.
Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the laws of India, without regard to its conflict-of-law principles. The parties agree that any dispute, claim, or controversy arising out of or relating to these Terms, or the breach, termination, enforcement, interpretation, or validity thereof, shall first be attempted to be resolved through good-faith negotiation.
If the dispute is not resolved within thirty (30) days of written notice, the parties agree that the dispute shall be resolved by binding arbitration administered by the Indian Council of Arbitration in accordance with its commercial arbitration rules, with the seat of arbitration in Kolkata, West Bengal, India. Notwithstanding the foregoing, either party may seek injunctive or equitable relief in a court of competent jurisdiction to protect its intellectual property or confidential information.
Class Action & Jury Trial Waiver
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BOTH THE CLIENT AND SEASIA STUDIO AGREE THAT ANY AND ALL DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.
Both parties explicitly waive any right to a jury trial or to participate as a class representative or class member in any class arbitration, class action, or representative lawsuit.
Time Limitation on Claims
YOU AGREE THAT ANY CAUSE OF ACTION OR CLAIM ARISING OUT OF OR IN CONNECTION WITH THE SERVICES OR THESE TERMS MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES, OTHERWISE SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.
Changes to These Terms
The Studio may update these Terms from time to time. Material changes will be communicated by posting a notice on the website, updating the "Last updated" date below, or by email for active Clients. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
Miscellaneous
Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
Entire agreement. These Terms, together with any signed project order, statement of work, or invoice referencing them, constitute the entire agreement between the parties regarding the Services and supersede any prior agreements.
Assignment.The Client may not assign or transfer these Terms without the Studio's prior written consent. The Studio may assign these Terms to any successor or affiliate.
Force majeure. Neither party will be liable for any delay or failure to perform caused by events outside reasonable control, including natural disasters, internet outages, government actions, or labour disputes.
